Alleyjar Terms of Service
Welcome to New Castle Trading (2005) Pte. Ltd.! We provide website features and other products and services to you when you visit or shop at www.alleyjar.com, use Alleyjar products or services, use Alleyjar applications for mobile, or use software provided by Alleyjar in connection with any of the foregoing (collectively, the “Alleyjar Services“). For purposes of these Terms of Service, “Affiliate” means any entity that directly or indirectly Controls, is Controlled by or is under common Control with Alleyjar. “Control” means the possession, directly or indirectly, of the power to direct or cause the direction of the management or policies of an entity, whether through the ownership of voting securities or otherwise. Alleyjar provides the Alleyjar Services subject to the following conditions.
By signing up for an Alleyjar Account (as defined in Clause 1, below) or by using any of the Alleyjar Services, you are agreeing to be bound by these terms and conditions (the “Terms of Service”); and our Personal Data Policy, which together constitute the “Agreement” between us.
As used in these Terms of Service, “we”, “us” and “Alleyjar” refers to New Castle Trading (2005) Pte. Ltd.
The Alleyjar Services offered under the Agreement include various products and services to help you buy goods and services, whether online (“Online Services”); in person (“POS Services”), or both. Any new features or tools which are added to the current Alleyjar Services shall be also subject to the Agreement. You can review the current version of the Terms of Service at any time at https://www.alleyjar.com/terms-conditions/. Alleyjar reserves the right to update and change the Terms of Service by posting updates and changes to the Alleyjar website. You are advised to check the Terms of Service from time to time for any updates or changes that may impact you. and if you do not accept such amendments, you must cease using the Services.
You must read, agree with and accept all of the terms and conditions contained or expressly referenced in these Terms of Service, and our Personal Data Policy.
1. ACCOUNT TERMS
1.1 To access and use the Alleyjar Services, you must register for an Alleyjar account (“Account”) by providing your full legal name; current address; phone number; a valid email address; and any other information indicated as required. Alleyjar may reject your application for an Account, or cancel an existing Account, for any reason, in our sole discretion.
1.2 You must be the older of: (i) 18 years, or (ii) at least the age of majority in the jurisdiction where you reside and from which you use the Services to open an Account.
1.3 You acknowledge that Alleyjar will use the email address you provide on opening an Account or as updated by you from time to time as the primary method for communication with you. You must monitor the primary Account email address you provide to Alleyjar and your primary Account email address must be capable of both sending and receiving messages. Your email communications with Alleyjar can only be authenticated if they come from your primary Account email address.
1.4 You are responsible for keeping your password secure. Alleyjar cannot and will not be liable for any loss or damage from your failure to maintain the security of your Account and password.
1.5 You are responsible for all activity and content such as photos, images, videos, graphics, written content, audio files, code, information, or data uploaded, collected, generated, stored, displayed, distributed, transmitted or exhibited on or in connection with your Account.
1.6 A breach or violation of any term in the Agreement, as determined in the sole discretion of Alleyjar may result in an immediate termination of your Services. You are responsible for your Account and any material you upload to the Alleyjar Service.
2. PERSONAL DATA
Please review our Personal Data Policy, which also governs your use of Alleyjar Services, to understand our practices.
3. ELECTRONIC COMMUNICATIONS
When you use Alleyjar Services, or send e-mails, text messages, and other communications from your desktop or mobile device to us, you may be communicating with us electronically. You consent to receive communications from us electronically, such as e-mails, texts, mobile push notices, or notices and messages on this site or through the other Alleyjar Services, and you can retain copies of these communications for your records. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
All content included in or made available through any Alleyjar Service, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software is the property of Alleyjar or its content suppliers and protected by Singapore and international copyright laws. The compilation of all content included in or made available through any Alleyjar Service is the exclusive property of Alleyjar and protected by Singapore and international copyright laws.
5. TRADE MARKS
[list] are trade marks which belong to Alleyjar. In addition, graphics, logos, page headers, button icons, scripts, and service names included in or made available through any Alleyjar Service are trade marks or trade dress of New Castle Trading (2005) Pte. Ltd. or its Affiliates, in Singapore and other countries. These trade marks and trade dress may not be used in connection with any product or service that is not New Castle Trading (2005) Pte. Ltd.’s or its Affiliates’, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits New Castle Trading (2005) Pte. Ltd. or its Affiliates. All other trade marks not owned by New Castle Trading (2005) Pte. Ltd. or its Affiliates that appear in any Alleyjar Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by New Castle Trading (2005) Pte. Ltd. or its Affiliates.
6. LICENCE AND ACCESS
Subject to your compliance with the terms of the Agreement, and your payment of any applicable fees, we may grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and make personal and non-commercial use of the Alleyjar Services. This licence does not include any resale or commercial use of any Alleyjar Service, or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of any Alleyjar Service or its contents; any downloading, copying, or other use of account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools. All rights not expressly granted to you in this Agreement are reserved and retained by Alleyjar or its licensors, suppliers, publishers, rightsholders, or other content providers. No Alleyjar Service, nor any part of any Alleyjar Service, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Alleyjar. You may not frame or utilise framing techniques to enclose any trade mark, logo, or other proprietary information (including images, text, page layout, or form) of Alleyjar without express written consent. You may not use any meta tags or any other “hidden text” utilizing Alleyjar’s name or trade marks without the express written consent of Alleyjar. You may not misuse the Alleyjar Services. You may use the Alleyjar Services only as permitted by law. The licences granted by Alleyjar shall terminate if you do not comply with any part of this Agreement.
7. REVIEWS, COMMENTS, COMMUNICATIONS, AND OTHER CONTENT
7.1 You may post reviews, comments, photos, videos, and other content; send e-cards and other communications; and submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of “spam” or unsolicited commercial electronic messages. You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of a card or other content. Alleyjar reserves the right (but not the obligation) to remove or edit such content, but does not regularly review posted content.
7.2 If you do post content or submit material, and unless we indicate otherwise, you grant Alleyjar a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such content throughout the world in any media. You grant Alleyjar and sublicensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify Alleyjar for all claims resulting from content you supply. Alleyjar has the right but not the obligation to monitor and edit or remove any activity or content. Alleyjar takes no responsibility and assumes no liability for any content posted by you or any third party.
8. INTELLECTUAL PROPERTY COMPLAINTS
Alleyjar respects the intellectual property of others. If you believe that your intellectual property rights are being infringed, please inform us via email to email@example.com.
9. RISK OF LOSS
All purchases of physical items from Alleyjar are made pursuant to a delivery contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.
10. RETURNS, REFUNDS AND TITLE
Alleyjar does not take title to returned items until the item arrives at our fulfilment centre. At our discretion, a refund may be issued without requiring a return. In this situation, Alleyjar does not take title to the refunded item.
11. PRODUCT DESCRIPTIONS
Alleyjar attempts to be as accurate as possible. However, Alleyjar does not warrant that product descriptions or other content of any Alleyjar Service is accurate, complete, reliable, current, or error-free. If a product offered by Alleyjar itself is not as described, your sole remedy is to return it in unused condition.
With respect to items sold by Alleyjar, we cannot confirm the price of an item until you order. Despite our best efforts, a small number of the items in our catalogue may be mispriced. If the correct price of an item sold by Alleyjar is higher than our stated price, we will, at our discretion, either contact you for instructions before delivery or cancel your order and notify you of such cancellation. Other merchants may follow different policies in the event of a mispriced item.
13. APP PERMISSIONS
When you use apps created by Alleyjar, you may grant certain permissions to us for your device. Most mobile devices provide you with information about these permissions.
14. OTHER BUSINESSES
Parties other than Alleyjar operate stores, provide services or software, or sell product lines through the Alleyjar Services. In addition, we provide links to the sites of affiliated companies and certain other businesses. If you purchase any of the products or services offered by these businesses or individuals, you are purchasing directly from those third parties, not from Alleyjar. We are not responsible for examining or evaluating, and we do not warrant, the offerings of any of these businesses or individuals (including the content of their Web sites). Alleyjar does not assume any responsibility or liability for the actions, product, and content of all these and any other third parties. You should carefully review their privacy statements and other conditions of use.
15. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
15.1 THE ALLEYJAR SERVICES AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE ALLEYJAR SERVICES ARE PROVIDED BY ALLEYJAR ON AN “AS IS” AND “AS AVAILABLE” BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. ALLEYJAR MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE ALLEYJAR SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE ALLEYJAR SERVICES, UNLESS OTHERWISE SPECIFIED IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF THE ALLEYJAR SERVICES IS AT YOUR SOLE RISK.
15.2 TO THE FULL EXTENT PERMISSIBLE BY LAW, ALLEYJAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND SATISFACTORY QUALITY. ALLEYJAR DOES NOT WARRANT THAT THE ALLEYJAR SERVICES, INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE ALLEYJAR SERVICES, ALLEYJAR’S SERVERS OR ELECTRONIC COMMUNICATIONS SENT FROM ALLEYJAR ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TO THE FULL EXTENT PERMISSIBLE BY LAW, ALLEYJAR WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF ANY ALLEYJAR SERVICE, OR FROM ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH ANY ALLEYJAR SERVICE, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, UNLESS OTHERWISE SPECIFIED IN WRITING.
16.1 Any dispute or difference (“Dispute”) between us arising out of or relating to or in connection with this Agreement including any question regarding its existence, validity or termination shall be resolved either by reference to mediation, arbitration or by court proceedings, as elected by us. Notwithstanding the forgeoing, if any Dispute at any time arises between us in respect of the interpretation of this Agreement or concerning anything herein contained or arising out of this Agreement or as to the rights, liabilities or duties of the parties hereunder, we shall first use their reasonable endeavours to seek to agree a settlement in good faith.
16.2 If any Dispute cannot be resolved, and we elect to bring the Dispute to
(a) mediation, the Dispute shall be referred to the Singapore Mediation Centre in accordance with its prevailing prescribed form, rules and procedure;
(b) arbitration, the Dispute shall be referred to arbitration at the Singapore International Arbitration Centre (“SIAC”). The arbitration shall take place in Singapore at the SIAC, and the arbitration shall be conducted according to the SIAC Rules for the time being in force. The tribunal shall consist of one arbitrator to be appointed in accordance with the SIAC Rules. The language of the arbitration shall be English. The Parties hereby agree that it is their intention that the arbitrator(s) must give full force and effect to all of the terms and provisions of this Agreement in resolving all such disputes. The arbitration award shall be final and binding upon the Parties. The Parties shall fulfill its terms accordingly. The arbitration fee shall be borne by the losing party. In the course of arbitration, parties shall continue to perform obligations under this Agreement except for the parts under arbitration;
(c) litigation, the parties hereby submit themselves to the exclusive jurisdiction of the Courts of Singapore.
17. APPLICABLE LAW
By using any Alleyjar Service, you agree that the laws of Singapore, without regard to principles of conflict of laws, will govern this Agreement and any dispute of any sort that might arise between you and Alleyjar.
18. SITE POLICIES, MODIFICATION, AND SEVERABILITY
Please review our other policies, such as our pricing policy, posted on this site. These policies also govern your use of Alleyjar Services. We reserve the right to make changes to any part of the Agreement at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
19. ADDITIONAL ALLEYJAR SOFTWARE TERMS
19.1 The following terms (“Software Terms“) apply to any software (including any updates or upgrades to the software) and any related documentation we make available to you in connection with Alleyjar Services (the “Alleyjar Software“).
19.2 You may use Alleyjar Software solely for purposes of enabling you to use the Alleyjar Services as provided by Alleyjar, and as permitted by this Agreement. You may not incorporate any portion of the Alleyjar Software into other programs or compile any portion of it in combination with other programs, or otherwise copy (except to exercise rights granted in this section), modify, create derivative works of, distribute, assign any rights to, or license the Alleyjar Software in whole or in part. All software used in any Alleyjar Service is the property of Alleyjar or its software suppliers and is protected by Singapore and international copyright laws.
19.4 You may not reverse engineer, decompile or disassemble, tamper with, or bypass any security associated with the Alleyjar Software, whether in whole or in part.
19.5 We may offer automatic or manual updates to the Alleyjar Software at any time and without notice to you.
20. RIGHTS OF THIRD PARTIES
Save for Alleyjar and its Affiliates, Alleyjar Users or anyone accessing Alleyjar Services pursuant to this Agreement, unless otherwise provided in this Agreement, no person or entity who is not a party to this Agreement shall have any right to enforce any term of this Agreement, regardless of whether such person or entity has been identified by name, as a member of a class or as answering a particular description. For the avoidance of doubt, this shall not affect the rights of any permitted assignee or transferee of this Agreement.
21. GENERAL TERMS
21.1 All deliveries must be received by a person aged 18 years old and above. We reserve the rights to request for a valid photo ID to verify recipient’s age.
21.2 We reserve the rights to reject your purchase if you appear intoxicated or are verbally/physically to any of our team members.
21.3 We reserve the rights to cancel your order if we are unable to fulfil them for any reasons (eg, out of stock, error in pricing), and we apologize in advance that if your item is unavailable.
21.4 Prices are inclusive of 7% GST. Prices and availability of items are subject to change without prior notice. Prices include alcohol duties on relevant products.
21.5 Payment methods offered are via online card payments (VISA/MASTER) or cash on delivery.
Only one promotional code can be applied per one order. Promotional items are strictly not valid with any other promotions/discounts/offers, unless stated otherwise.
21.6 Please refer to additional Terms & Conditions on each individual promotion (if any).
21.7 We reserve the right to amend validity of date or reject promotions/discount/offers in order to protect the interests of Alleyjar or under circumstances of abuse.
21.8 Delivery times are usually 10am to 7pm from Monday to Saturday (Public Holidays excluded).
Free next day delivery service to one destination for orders above $100, otherwise, an additional $10 delivery fee applies. Orders placed before 5pm will be delivered the next shipping day. Orders made after the said time will be delivered the following day. An additional fee of $5 is applicable for delivery to Sentosa. Should you require express delivery (i.e., same day), a fee of $10 is applicable for a special delivery arrangement. Express delivery is subjected to availability. We do not deliver to Jurong Island and other restricted areas.
Orders opted for self-collection will be available for collection the next working day, according to our retail showroom operating hours. A text message will be sent to the mobile number registered by customer to notify that order is ready for collection.
All our customers are advised to examine all goods purchased at point of delivery. Any breakages or discrepancies in quantities or items delivered should be brought to the attention of the delivery personnel before he or she leaves the delivery premises, failing which the goods shall be deemed to have arrived in good condition.
International delivery is unavailable at the moment, we only deliver to local Singapore addresses.
* During inclement weather, traffic congestion, extremely high call volume or other unforeseen situation, delivery may take longer than expected or may temporarily be unavailable. If any of such circumstance arises, our staff will contact you personally in order to update you with the relevant details.
21.9 No exchange / refund / cancellation changes is allowed for confirmed orders unless the items were delivered damaged. Please contact us should you require any assistance for your order.

*You will not be eligible for Alleyjar Membership Program if you cease to subscribe to any of our services/ and or terminate all existing Alleyjar accounts registered under your name, including without limitation, as a result of a transfer of service subscription:
If you fail to make payment for outstanding bills invoiced by our related corporations;
If you breach any of these Terms or any of our Participating Merchant’s terms and conditions; and
Any other circumstances as determined by us in its sole discretion.
